Exercise of warrants and primary insider transaction

The Board of Directors of Xplora Technologies AS (“Xplora” or the “Company”) has today, pursuant to the board authorization granted by the Company's general meeting held on 13 April 2021, resolved to increase the Company's share capital with NOK 3 714.284 by the issuance of 928 571 new shares.

The new shares are issued in a private placement to Skadi AS, Harmonium Invest AS, Hering AS and Torsen Tankers & Towers AS (collectively the “Subscribers”) in connection with exercise of a contractual subscription right at a price of NOK 7 per share. The shares must be subscribed within 12 July 2022. The total subscription amount is NOK 6 499 997.

Further details regarding the underlying subscription rights are set out in section 8.6.1 of the Admission Document published by Xplora on 17 November 2020 in connection with the admission to trading of its shares on Merkur Market (Euronext Growth).

The new shares are expected to be delivered by mid-August 2022, following registration of the share capital increase with the Norwegian Register of Business Enterprises.

The Subscribers have also exercised a right to subscribe for a total of 934 200 new shares at NOK 10.704344, pursuant to a general meeting resolution on 12 July 2019 and as further described in section 8.6.1 of said Admission Document (Nw. frittstående tegningsretter). The total subscription amount is NOK 9 999 998.1648.

Following registration of the share capital increase and the exercise of subscription rights in the Norwegian Register of Business Enterprises, the Company will have a share capital of NOK 166 626.476, divided into 41 656 619 shares, each with a par value of NOK 0.004. Each share carries one vote.

Harald Fr. Ulltveit-Moe, board member and primary insider in the Company, has through his wholly-owned company Harmonium Invest AS subscribed for (i) 250 000 shares in the abovementioned share issue at NOK 7 per share and (ii) 233 550 shares in the abovementioned exercise of subscription rights at NOK 10.704344.

Further to this, and upon registration in the Norwegian Register of Business Enterprises and delivery of the new shares in VPS, Harald Fr. Ulltveit-Moe will own 2 150 625 shares in Xplora Technology AS, through his wholly-owned company Harmonium Invest AS. Additionally, he owns 38.5% of EF Investigo Holding AS, who owns 402 100 shares in Xplora Technologies AS
