Tore Engebretsen


Tore Engebretsen is the owner of Passesta AS, an investment company with focus on technology-oriented investments. Tore holds several board and chairman positions in a variety of companies such as Elliptic Laboratories AS, Media Network Services AS and Squarehead Technology AS. He is previously founder and CEO of VMetro ASA, an OSE listed technology company, and previously served as chairman of Nordic Semiconductor ASA, also listed on the OSE. Tore holds a Cand. Real. From the University of Oslo in theoretical physics.

Harald Fr. Ulltveit-Moe

Board Member

Harald Fr. Ulltveit-Moe is an investor and medical doctor and specialist in ophthalmology. He is the founder and managing director of Øyelegeklinikken AS, a specialist eye clinic based in Trondheim, Norway. His investment firm Harmonium Invest mainly invests in health, sports and technology related companies, including Vitalis Helse, Teksport AS and Numascale. Furthermore, he serves as chairman and board member for multiple companies, including his investment firm Harmonium Invest AS. Harald holds a MD from the University of Oslo.

Bjørn Christian Eide

Board Member

Bjørn Christian Eide has more than 20 years of experience from finance, operations and accounting, in addition to funding, financing and M&A, from a number of international positions in Microsoft, Fast Search and Transfer. Bjørn is currently VP Finance at Cognite AS in Oslo and serves as a board member of the investment companies ESMAR AS and Racce AS. Bjørn holds a Siviløkonom degree from Norwegian School of Economics (NHH).

Kristin Hellebust

Board Member

Kristin Hellebust has extensive experience within the media- & entertainment industry as well as with technology management. She is the co-founder and CEO of Nordisk Film Shortcut with prior equivalent experience from Storm Studios. Furthermore, Kristin has has practised as a lawyer. Kristin has also served as board member for multiple private as well as publicly listed companies, including Hunter Group ASA. She holds a Cand. Jur. from the University of Oslo, Executive Master of Management from BI as well as Executive MBA from Norwegian School of Economics (NHH) in Bergen.

Torkil Munkhaugen

Board Member

Torkil Munkhagen has extensive experience from the IT service sector and has held positions within IT operations as well as strategic and operational support. In addition to being founder and CEO of Apex IT AS he is running the daily operations of his family’s investment firm S.Munkhaugen. Torkil holds a B.Sc. degree from the Norwegian University of Science and Technology (NTNU) as well as a BBA degree from BI.

IR Policy

Xplora Technologies AS

Xplora Technologies is committed to provide its shareholders with precise and relevant information to ensure that the company’s share price reflects its true value and future prospects.

Xplora's Investor Relations (IR) and Communications Policy establishes the guidelines for the Company’s communication with the financial community. Below are the key elements of the policy.

  • ● Relevant and accurate information will promptly and timely be provided to the financial community, always based on equal treatment and transparency.

  • ● Xplora aims to disclose correct and relevant information on the Company’s performance, operations, results, strategy and outlook.

  • ● The language used in investor communication is English
  • ● IR activities are conducted by the IR team, which includes the CFO, the CEO and the Chairman of the Board as well as other personnel appointed by the team. Only members of the IR team shall act as spokespersons.

  • ● Communication with the financial community is conducted via public disclosures, meetings, presentations, incoming inquiries and news on the Company´s website.

  • ● Xplora shall not use social media to disseminate financial information or to contact investors or analysts. The Company may, however, publish links on social media to financial information that is made publicly available through the above-mentioned channels.

  • ● Management participates regularly in meetings with investors, analysts and media representatives and the Company hosts open presentations in connection with its financial reporting.

  • ● Xplora has implemented a process for handling of sensitive information to ensure that the Company, its employees and representatives fulfill their obligations with regard to the handling and publication of sensitive information. Therefore, measures have been taken so that no sensitive information is lost or becomes known at the wrong time.

  • ● The dates for financial reporting and other key events are to be made available in the Financial Calendar on the Company´s website and via Oslo Børs Newsweb.

  • ● A silent period of at least three weeks prior to the release of the quarterly financial reports applies, where contact with analysts, investors and journalists will be minimized and spokespersons will make no comments on or discuss matters related to the Company’s operations, financial performance or expectations.

  • ● Xplora always refrains from commenting on rumors and speculations, especially if share price sensitive matters.

  • ● Xplora complies with the Norwegian Securities and Trading Act, and the Norwegian Accounting Act and Euronext Growth Oslo’ Continuing Obligations for Issuers of Shares, and will aim at complying with Oslo Børs’ Code of Practice of IR.
